Legal & Compliance

Swiss Fintech Law AG (“SFL”) - 2024

  1. These terms of services, together with the Service Agreement below, form the “Proposal of Service” issued by the Legal & Compliance Department of Swiss Fintech Law AG, a limited liability company duly incorporated and validly existing under the laws of Switzerland, having its corporate seat at Hinterbergstrasse 53, Steinhausen 6312 registered under code CHE-201.843.628 (hereinafter referred to as the “Firm”).

  2. This Proposal of Service’s sole and exclusive addressee shall be the entity or person named on Swiss Fintech Law AG’s invoice (hereinafter referred to as the “Client”).

  3. The purpose of this Proposal of Service (hereinafter referred to as the “Scope of Work”) shall be to provide the Client with legal and compliance advisory concerning the operation of new technology related entrepreneurial projects.

  4. The Firm shall pursue the Scope of Work as instructed by teleconference, email or other means of telecommunication, or described on SFL Pro format invoices.

  5. The number of hours pertaining to the services on pro-format invoice shall indicate the estimated amount of legal & compliance consultancy required by each element of the Scope of Work. Such hours and the timeline may slightly vary depending on the particular circumstances and peculiar characteristics of the Client’s project.

  6. The Scope of Work may be subject to amendments and modifications according to the requests of the Clients.

  7. The Firm’s compensation shall be calculated based on the hourly rate of its Legal & Compliance Department equal to CHF 380 per hour.

    Retainer for Legal Services

  8. Unless stated otherwise, the Client shall pay a minimum retainer fee corresponding to fifteen (15) hours of consultancy to start the collaboration.

  9. Following the initial retainer fee, the Firm shall charge the Client with subsequent (15) hours packages on consumption.

  10. Alternatively, the Firm offers the following options for monthly packages of hours:

    10.1. 20h per month (10% discount included): CHF 6’800 monthly fee;

    10.2. 40h per month (15% discount included): CHF 12’800 monthly fee;

    10.3. 60h per month (20% discount included): CHF 17’900 monthly fee.

    Monthly contract shall have a minimum duration of six (6) months.

    Retainer for Compliance Services: Compliance Officer Package

  11. Where the Client is not yet registered to an SRO, the Compliance Services Package includes application to a self regulated organization, a risk premium for the appointment of a compliance officer, including 10 hours services valid up to 12 months from the start of preparation for application to the SRO. The client must provide all documents, save for the AML policy and the SRO forms.

  12. As part of the SRO application preparation SFL will guide you with the overall process.
    The Compliance Officer Package does not include obtention of a FINMA no action letter, preparation of a legal opinion, and/or review of business plans, business documents etc.

  13. Where the Client is already registered to an SRO, the Compliance Services Package costs includes 2.5 hours per month chargeable yearly in advance. Hours are non-cumulative.

  14. The Client acknowledges and consent to the automatic reconduction of the Compliance Officer Package at the end of the 12 months period, unless terminated in advance with 3 months notice.

  15. Where the Client activities require additional hours, the Client shall pay for an extension package of 15 hours valid for 12 months.

  16. The client shall enter into a Compliance Officer Agreement with the Firm defining the obligations of the Client, in line with the rules of the relevant Self Regulated Organization. The Compliance Officer Agreement shall prevail over these Terms of Service.

  17. The Firm accepts the following currencies as means of payment: CHF, EUR. Legal and compliance packages are non refundable.

  18. This Proposal of Service shall be valid for a period of ten (10) days from the date of its delivery under Art. 3 of the Swiss Code of Obligations.
